Statutes

Association Crans Wake, a non-profit association under articles 60 ff. of the Swiss Civil Code.

I. Name, registered office and duration

Art. 1 · Name and legal form

Under the name Association Crans Wake (hereafter “the association”) a non-profit association is constituted, governed by articles 60 ff. of the Swiss Civil Code and by these statutes.

Art. 2 · Registered office

The registered office is in Crans-près-Céligny (1299), canton of Vaud, at the following address: [TO BE COMPLETED: street and number of the registered office]. It may be moved elsewhere by decision of the general assembly, without this constituting an amendment to the statutes.

Art. 3 · Duration

The association is constituted for an indefinite duration.

II. Purpose and resources

Art. 4 · Purpose

The purpose of the association is to allow its members to practise wakesurfing, wakeboarding and wakefoiling together on Lake Geneva, sharing a boat, a pilot and the costs these outings incur.

The association pursues no profit and seeks no gain. It sells no service, rents out no equipment, and pays no remuneration for piloting.

Art. 5 · Means

To achieve its purpose the association may in particular organise outings on the lake, make a boat available to its members, inform them of navigation and safety conditions, and maintain relations with the authorities and with associations pursuing a similar purpose.

Art. 6 · Resources

The resources of the association consist of membership fees, donations and legacies, the proceeds of any events, and any other resource permitted by law.

The direct costs of an outing, in particular fuel, are shared between the participants on board, directly between them. That sharing is a matter for their agreement alone; it constitutes neither a price, nor income of the association, nor remuneration of the pilot.

III. Members

Art. 7 · Admission

Any natural person who subscribes to the purpose of the association and accepts these statutes may become a member. Applications are addressed to the committee, which decides; a refusal need not be reasoned.

Minors may be admitted with the written consent of their legal representative; they have no voting rights.

Art. 8 · Duration of membership

Membership is granted for one riding season, running from 15 April to 15 October. It renews from one season to the next, unless resigned.

Membership applied for after the end of a season covers the following season.

Art. 9 · Membership fee

The general assembly sets the annual membership fee. It may set it at zero. Honorary members are exempt.

Art. 10 · Loss of membership

Membership is lost by death, by written resignation addressed to the committee, by non-payment of the fee despite a reminder, or by exclusion.

The committee may exclude a member for good cause, in particular conduct endangering safety on board or harming the interests of the association. An excluded member may appeal to the general assembly, which decides finally.

A departing member has no claim on the assets of the association and remains liable for the fee of the current season.

Art. 11 · Liability

The commitments of the association are secured by its assets alone. Any personal liability of its members is excluded.

Each member rides under their own responsibility and shall ensure they are covered by accident and third-party liability insurance. Everyone brings their own gear; the association neither rents nor sells any.

IV. Bodies

Art. 12 · Bodies

The bodies of the association are the general assembly, the committee and the auditors.

Art. 13 · General assembly

The general assembly is the supreme authority of the association. It brings together all members and meets at least once a year.

It is convened by the committee at least twenty days in advance, in writing or by email, with the agenda. An extraordinary assembly may be convened by the committee or at the request of one fifth of the members.

It has in particular the following powers: to adopt and amend the statutes; to elect the members of the committee and the auditors; to approve the accounts and the auditors' report; to discharge the committee; to set the membership fee; to decide appeals against exclusion; to dissolve the association.

Art. 14 · Decisions of the assembly

The general assembly deliberates validly whatever the number of members present. Each member has one vote.

Decisions are taken by a simple majority of the votes cast. Amendment of the statutes and dissolution require a two-thirds majority of the votes cast. In the event of a tie, the president has the casting vote.

Art. 15 · Committee

The committee consists of at least three members elected for one year and eligible for re-election: [TO BE COMPLETED: size of the committee and names of those first elected]. It constitutes itself and appoints from among its members a president, a secretary and a treasurer.

The committee conducts day-to-day business, carries out the decisions of the general assembly and represents the association. It holds all powers that the law or these statutes do not reserve to another body.

The association is validly bound by the joint signature of two committee members. Committee duties are carried out on a voluntary basis; only actual expenses are reimbursed.

Art. 16 · Auditors

The general assembly elects each year two auditors, who may not be members of the committee: [TO BE COMPLETED: names of the two auditors]. They present a written report to the ordinary general assembly.

V. Final provisions

Art. 17 · Financial year

The financial year is the calendar year. The first financial year ends on the 31 December following the date mentioned in article 20.

Art. 18 · Dissolution

Dissolution is decided by the general assembly by a two-thirds majority of the votes cast.

On dissolution, the available assets are allocated to a tax-exempt institution pursuing a similar public-interest purpose. They may under no circumstances be distributed among the members, nor revert to them in whole or in part.

Art. 19 · Applicable law and jurisdiction

For anything not provided for in these statutes, articles 60 ff. of the Swiss Civil Code apply. The place of jurisdiction is the registered office of the association.

Art. 20 · Entry into force

These statutes were adopted by the founding assembly of [TO BE COMPLETED: date of the founding assembly] and enter into force on that date.
